TERMS OF SERVICE

By accessing this CloudLED digital signage management platform ("Service"), you ("User") agree to be bound by these Terms of Service. If you do not agree, do not use this Service.

1. SERVICE DESCRIPTION

CloudLED provides a cloud-based platform for remotely monitoring and managing LED display devices. The Service allows authorized users to view device status, push content updates, manage schedules, and perform administrative tasks on connected displays.

2. LICENSE GRANT

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for managing authorized devices. This license does not include any right to sublicense, resell, or redistribute the Service. You may not reverse engineer, decompile, or attempt to extract source code from the Service.

3. ACCEPTABLE USE

You agree to:

• Use this Service only for its intended purpose of managing authorized devices
• Keep login credentials confidential and not share them with unauthorized parties
• Report any security vulnerabilities or unauthorized access immediately
• Not attempt to access devices, data, or accounts you are not authorized to use
• Not use the Service to distribute illegal, harmful, or offensive content
• Not interfere with or disrupt the Service or connected devices
• Not conduct security testing without explicit written authorization

4. INTELLECTUAL PROPERTY

All rights, title, and interest in the Service, including software, documentation, user interface, and trademarks, remain the exclusive property of the service provider. You acquire no ownership rights through use of the Service.

5. DISCLAIMER OF WARRANTIES

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS.

6. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, REVENUE, OR GOODWILL, ARISING FROM:

• Device failures, malfunctions, or damage
• Service interruptions, outages, or downtime
• Data loss or corruption
• Unauthorized access to your account or devices
• Content displayed on devices
• Third-party hardware, software, or network issues

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED FIVE HUNDRED DOLLARS ($500 USD).

7. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless the service provider and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, violation of these Terms, or infringement of any third-party rights.

8. DATA COLLECTION & PRIVACY

We collect and process the following data for operational and security purposes:

• Device status, connectivity, and performance metrics
• User activity and audit logs
• IP addresses and access timestamps
• Content and scheduling data you upload

This data is used to provide and improve the Service, ensure security, and comply with legal obligations. We do not sell personal data to third parties.

9. TERMINATION

We may suspend or terminate your access at any time, with or without cause or notice, including for violation of these Terms. Upon termination, your right to use the Service ceases immediately. Sections 4-7 survive termination.

10. MODIFICATIONS

We reserve the right to modify these Terms or the Service at any time. Continued use after changes constitutes acceptance of modified Terms. Material changes will require re-acceptance.

11. GOVERNING LAW

These Terms are governed by the laws of the State of Florida, United States, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Brevard County, Florida.
